Background

An investment company purchased a well established Irish software development company with a view to transferring the operation in its entirety, to the UK. The objective was to provide bespoke software development and close support services for a major retailer in which it also had a majority shareholding.
However, there was resistance from individuals within the Irish company to the UK transfer on the grounds of finance and personal commitments. In addition, there were no hard copies of programme coding for core products which meant that their cooperation was essential for the proper transfer of the business.
